  • HUMN Audio Ritual Track License Agreement for Creators
    Effective Date: June 22, 2025

    This License Agreement ("Agreement") is made between you ("Licensee" or "Creator") and HUMN Audio ("Licensor"). By downloading, accessing, or using any HUMN Audio Ritual Tracks ("Tracks"), you agree to be bound by the following terms and conditions:

    1. Grant of License
       1.1 Licensor hereby grants Licensee a non-exclusive, non-transferable, worldwide, perpetual license to use the Tracks in the creation, synchronization, and distribution of audiovisual and multimedia projects, including but not limited to:
           - Online videos, podcasts, livestreams, and social media content
           - Film, television, and commercial advertisements
           - Interactive media, games, and mobile applications
           - Any commercial or non-commercial creative works

    2. Permitted Uses
       2.1 Licensee may:
           - Incorporate the Tracks into derivative works and final productions.
           - Monetize projects that include the Tracks without additional fees or royalties.

    3. Restrictions
       3.1 Licensee shall not:
           - Sell, sublicense, distribute, or make the Tracks available as standalone audio files.
           - Claim ownership of the original Tracks or register them as part of any musical work.
           - Use the Tracks in any unlawful or defamatory context.
           - Remove or alter any proprietary notices embedded in the Tracks.

    4. Attribution
       4.1 While not mandatory, Licensor requests that Licensee include the following credit whenever possible:
           “Music: ‘<Track Title>’ by HUMN Audio”

    5. Ownership
       5.1 All rights, title, and interest in and to the Tracks remain with Licensor. This Agreement does not convey any ownership rights to the Licensee.

    6. Warranty Disclaimer
       6.1 The Tracks are provided "AS IS," without warranties of any kind, express or implied. Licensor disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

    7. Limitation of Liability
       7.1 Under no circumstances shall Licensor be liable for any indirect, incidental, consequential, or punitive damages arising out of Licensee’s use of the Tracks.

    8. Termination
       8.1 This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if Licensee breaches any term. Upon termination, Licensee must cease all use of the Tracks.

    9. Governing Law
       9.1 This Agreement shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law provisions.
